Most organisations have risk frameworks, registers and reporting cycles, and most boards receive a risk report at every meeting. The presence of process is not the problem. The problem is what happens to information as it travels through that process on its way to the board.
Each layer of management between an operational risk and a board report applies its own judgment about what matters, what needs softening and what the board really needs to know. None of this is necessarily deliberate. It is simply how organisations work. The cumulative effect is a board that believes it has a clear picture of organisational risk while making governance decisions on something considerably less reliable.
Under Australian law, directors carry personal liability for decisions made on incomplete or inaccurate information. That liability does not diminish because the gap was invisible from where they were sitting.
